This Standing Referral Agreement ("Agreement") is entered into between Cannabisregulations.ai, a company organized and existing under the laws of the State of Delaware ("Cannabisregulations.ai"), and the affiliate agreeing to this Agreement by completing the signup process on the Cannabisregulations.ai affiliate page ("Affiliate").
By registering as an affiliate, you ("Affiliate") agree to the terms and conditions set forth in this Agreement, which are legally binding upon your acknowledgment during the signup process.
1. Referral Program
1.1 Referrals. The Affiliate agrees to refer potential customers ("Referred Customers") to Cannabisregulations.ai through various channels, including but not limited to, blog posts, content ranking, links to Cannabisregulations.ai, and mailing lists.
1.2 Tracking. Referrals will be tracked using cookies and a pixel placed on the Cannabisregulations.ai website. Cannabisregulations.ai will ensure the proper implementation and maintenance of these tracking methods to accurately attribute referrals to the Affiliate.
2. Compensation
2.1 First Sale Commission. Cannabisregulations.ai agrees to pay the Affiliate twenty-five percent (25%) of the revenue generated from the first sale made by each Referred Customer ("First Sale Commission").
2.2 Recurring Commission. Cannabisregulations.ai agrees to pay the Affiliate fifteen percent (15%) of the revenue generated from subsequent sales made by each Referred Customer ("Recurring Commission").
2.3 Revenue Definition. Revenue is defined as the total amount received by Cannabisregulations.ai from Referred Customers, excluding taxes, refunds, and chargebacks.
2.4 Payment Terms. The First Sale Commission and Recurring Commission will be calculated on a monthly basis. Payments will be made via bank wire on the fifth (5th) day of each month for the total commissions earned in the previous calendar month.
3. Responsibilities of the Parties
3.1 Cannabisregulations.ai. Cannabisregulations.ai will provide the Affiliate with access to marketing materials, support, and any other resources necessary to effectively refer customers. Cannabisregulations.ai will ensure the tracking systems are functioning correctly and will provide the Affiliate with regular reports on referred customers and associated revenue.
3.2 Affiliate. The Affiliate will use their best efforts to promote and refer customers to Cannabisregulations.ai through their marketing channels. The Affiliate will not engage in any deceptive, misleading, or unethical practices that may harm Cannabisregulations.ai's reputation or business.
4. Term and Termination
4.1 Term. This Agreement will commence on the date the Affiliate agrees to these terms during the signup process and will continue until terminated by either party in accordance with this Agreement.
4.2 Termination. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
4.3 Effect of Termination. Upon termination, Cannabisregulations.ai will pay the Affiliate any commissions due for sales completed prior to the termination date. Commissions will continue to be paid for Referred Customers for the duration specified in this Agreement.
5. Confidentiality
5.1 Confidential Information. Each party agrees to keep confidential any proprietary information disclosed by the other party during the term of this Agreement and to use such information solely for the purposes of this Agreement.
6. Mutual Indemnity
6.1 Indemnification by Cannabisregulations.ai. Cannabisregulations.ai agrees to indemnify, defend, and hold harmless the Affiliate from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to any breach by Cannabisregulations.ai of its representations, warranties, or obligations under this Agreement, or any third-party claims resulting from the use of the Cannabisregulations.ai platform, except to the extent such claims arise from the gross negligence or willful misconduct of the Affiliate.
6.2 Indemnification by Affiliate. The Affiliate agrees to indemnify, defend, and hold harmless Cannabisregulations.ai from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to any breach by the Affiliate of its representations, warranties, or obligations under this Agreement, or any third-party claims resulting from the Affiliate's marketing practices or the content they produce, except to the extent such claims arise from the gross negligence or willful misconduct of Cannabisregulations.ai.
7. Miscellaneous
7.1 Governing Law. This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
7.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
7.3 Amendment. Cannabisregulations.ai reserves the right to amend this Agreement at any time. Any such amendments will be effective upon notice to the Affiliate, which may be provided through the Affiliate's registered email or by updating the terms on the Cannabisregulations.ai website. The continued participation of the Affiliate in the referral program after such notice constitutes acceptance of the amended terms.
7.4 Waiver. The waiver by either party of any breach or default under this Agreement will not constitute a waiver of any other or subsequent breach or default.
7.5 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
